{"database": "press", "table": "releases", "rows": [["https://www.thune.senate.gov/public/index.cfm/press-releases?ID=0316e828-2f34-4519-965f-c6e4002a9ffc", "Thune, Toomey Call on SEC to Follow the Law in Implementing JOBS Act", "2013-10-22", "2013", "2013-10", "Republican", "House", "SD", "John Thune", "T000250", "www.thune.senate.gov", null, null, "legacy", "Washington, D.C.\u00a0\u2014\u00a0\r\n\t\t\r\n\t\t\r\n\t\tU.S. Senators John Thune (R-S.D.) and Pat Toomey (R-Pa.), Senate sponsors of a major provision included in the bipartisan Jumpstart Our Business Startups (JOBS) Act, today sent a letter to Securities and Exchange Commission (SEC) Chairman Mary Jo White to express concern over the SEC\u2019s implementation of the JOBS Act, which was signed into law in April of 2012.\r\nIn their letter, the senators write: \u201cThe additional measures that the SEC has proposed go beyond Congress\u2019s clear mandate in Section 201, and would impose unnecessary and burdensome requirements that will have adverse effects on small businesses and investors, and undo the progress made under Section 201.\u201d\u00a0\r\nThe full letter is included below.\r\n--\r\nOctober 22, 2013\r\nThe Honorable Mary Jo White  Chairman  U.S. Securities and Exchange Commission  100 F Street, Northeast  Washington, D.C. 20549\u00a0\r\nDear Chairman White:\r\nAs strong supporters of the Jumpstart Our Business Startups (JOBS) Act, we were pleased to see the Securities and Exchange Commission (SEC) act earlier this year to begin implementation of this important law.\u00a0 With unemployment remaining at chronically high levels, implementation of the JOBS Act, an important step in pushing our economy forward and putting Americans back to work, is long overdue.\r\nThe SEC\u2019s adoption of a final rule, in the manner mandated by Congress, to lift the ban on general solicitation for private securities offerings will work to facilitate capital formation for small businesses and entrepreneurs.\u00a0 As you know, this long-overdue change will remove an existing barrier to economic growth by encouraging investment in the private market from qualified investors.\u00a0\r\nUnfortunately, we are very concerned that the SEC\u2019s additional proposals under consideration, as they relate to changes to Regulation D, Form D, and Rule 156 under the Securities Act, would substantially undermine the intent of Congress.\u00a0 The SEC\u2019s final rule follows Congress\u2019s clear directive to the SEC regarding how to amend Rule 506.\u00a0 Section 201 of the JOBS Act instructs the SEC to amend Rule 506 to remove the ban on general solicitation provided that all purchasers of the securities are accredited investors, and to require that issuers take reasonable steps to verify that the purchasers are accredited investors.
